Vendor Terms

Effective Date: October 8, 2025 Last Updated: October 8, 2025 These Vendor Terms and Conditions (“Terms”) govern the relationship between Vyana Services (“Company”, “We”, “Us”, or “Our”) and all vendors, resellers, or partners (“Vendor”, “You”, or “Your”) who engage with our WhatsApp Marketing Tool or related services. By partnering, reselling, or offering services through Vyana Services, you agree to comply with and be bound by these Terms. 1. Definitions Company: Refers to Vyana Services, owner and operator of the Vyana WhatsApp Marketing Tool. Vendor: Refers to any individual, company, or organization authorized to sell, promote, or distribute Vyana Services’ products or services. Platform: Refers to the WhatsApp Marketing Tool, website, and all associated systems or software operated by Vyana Services. 2. Vendor Eligibility To become an authorized Vendor: You must be a registered business or individual authorized to conduct commercial activities under Indian law. You must complete the vendor registration or onboarding process as specified by Vyana Services. Approval as a vendor is at the sole discretion of the Company. 3. Vendor Responsibilities Vendors shall market and sell Vyana Services’ products honestly and professionally. Vendors must not make false, misleading, or unauthorized claims about the Company, its products, or pricing. All marketing materials, creatives, or communications using the Company’s name or logo must be pre-approved by Vyana Services. Vendors are responsible for providing accurate customer information and maintaining transparency in all transactions. Vendors must comply with all applicable laws, privacy regulations, and WhatsApp policies. 4. Pricing and Payments Vendors must adhere to the pricing and commission structure defined by Vyana Services. Any discounts or offers must be approved in writing by the Company. Payments and commissions will be processed as per agreed terms and schedules. The Company reserves the right to withhold or adjust payments in cases of non-compliance, fraud, or violation of these Terms. 5. Intellectual Property The Company retains all rights to its trademarks, software, logos, and materials. Vendors are granted a limited, non-exclusive right to use marketing materials solely for promoting Vyana Services. Unauthorized use, modification, or distribution of proprietary content is strictly prohibited. 6. Confidentiality Vendors must maintain strict confidentiality of all Company data, customer information, pricing, and business details. Confidential information shall not be disclosed to third parties without written consent from Vyana Services. 7. Compliance and Conduct Vendors must ensure that all marketing or customer outreach activities comply with WhatsApp’s Business and Anti-Spam Policies. Vendors shall not use the platform for illegal, offensive, or misleading activities. Any violation may result in immediate termination of vendor rights and possible legal action. 8. Termination Vyana Services reserves the right to terminate or suspend vendor agreements at any time for misconduct, breach of terms, or misuse of the platform. Upon termination, vendors must cease using all brand materials and remove all references to Vyana Services. 9. Limitation of Liability Vyana Services shall not be liable for any indirect, incidental, or consequential damages arising out of vendor activities, including but not limited to loss of profit, reputation, or business opportunities. 10. Modification of Terms Vyana Services may update or modify these Terms at any time. Vendors will be notified of significant changes, and continued engagement shall constitute acceptance of the updated Terms. 11. Governing Law and Jurisdiction These Terms shall be governed by and interpreted in accordance with the laws of India, and disputes shall be subject to the exclusive jurisdiction of the courts located in Uttar Pradesh, India. 12.
